Vendor Registration Terms and Conditions
Please review the following terms and conditions carefully before proceeding with your vendor registration.
I, the undersigned, acting in my capacity as the owner and/or authorized representative of the entity applying for supplier registration with the Asharqia Chamber (hereinafter referred to as "the Chamber"), hereby acknowledge that I may be granted access to certain confidential, proprietary, or otherwise sensitive information belonging to the Chamber.
By signing this undertaking, I irrevocably agree to be bound by the following terms and conditions designed to safeguard the confidentiality of all information, data, materials, communications, or projects disclosed, discussed, or developed within the Chamber. Such information includes, but is not limited to: business strategies, plans, models, designs, files, schematics, software, employee details, client and supplier information, technical data, trade secrets, intellectual property, patent information, specifications, computer programs, or any other confidential or proprietary information disclosed or made available to me in connection with dealings with the Chamber.
I expressly undertake the following obligations:
- To utilize the confidential information solely for the purposes of performing tasks assigned by the Chamber in connection with supplier registration or other authorized engagements.
- To maintain strict confidentiality with respect to all information disclosed to me, and not to disclose, transmit, disseminate, or make available such information to any third party by any means, whether during my engagement with the Chamber or for a period of three (3) years following the last date on which such information was disclosed to me.
- To acknowledge that all confidential information remains the exclusive property of the Chamber, and that I have no ownership rights or license to use such information, except as strictly necessary to perform agreed-upon tasks for the Chamber.
- To refrain from disclosing any confidential information to any person, entity, or authority without the Chamber’s prior express written consent.
- To safeguard all confidential information with at least the same degree of care as I would apply to my own sensitive or proprietary information, and in no event less than a reasonable standard of care.
- To promptly return, destroy, or delete all copies, whether physical or electronic, of confidential information upon the Chamber’s written request.
- To indemnify and hold the Chamber harmless against any material or moral damage, loss, liability, or expense arising from any breach of this undertaking or unauthorized disclosure resulting from my negligence or misconduct.
- To assume full legal responsibility for any violation of the terms of this undertaking.
Further, I unequivocally confirm that I shall refrain from the following prohibited actions:
- Disclosing confidential information to any individual or entity, except as expressly authorized in writing by the Chamber or pursuant to a valid court order issued by a competent authority.
- Copying, reproducing, or otherwise duplicating any confidential information belonging to the Chamber.
- Permitting unauthorized persons to access confidential information.
- Transmitting, transferring, or removing any portion of the confidential information to any third party without proper authorization.
- This undertaking shall not apply to information:
- That was publicly available prior to my receipt of it.
- That becomes publicly available through no fault or action on my part.
- That is lawfully disclosed to me by an independent third party with legal authority to disclose such information.
- That I develop independently without reliance on or reference to the Chamber’s confidential information.
- That I am legally compelled to disclose by virtue of a binding judicial or regulatory order, provided that I notify the Chamber promptly and cooperate to the extent legally permissible to protect the confidentiality of such information.
- Additional Provisions:
- Nothing in this undertaking shall be construed to create an employment relationship, partnership, agency, or other legal representation between myself and the Chamber.
- The obligations set forth herein shall remain in effect for a period of three (3) years from the date of execution of this document. Notwithstanding the expiration of said period, my confidentiality obligations shall survive indefinitely with respect to any information that remains confidential.
